RULES AND REQUIREMENTS FOR ACCESSORIES LANE
1 - PURPOSE AND NATURE OF THE EVENTS
WHEREAS the RED CARPET RUNWAY serves as a platform for the local Australian fashion industry, designers and professionals representing their nation of origin and cultural identities, in a celebration of cultural diversity expressed through the artistic and social movement of Fashion, with the aim of promoting a sustainable global fashion industry.
The RED CARPET RUNWAY (the "RCR") is a collection of local designers showcasing their latest fashion collections on the catwalk either as their own or through a collaboration with another local designer. Designers and vendors have an opportunity to sell their products direct to the public at the after show market dedicated to the promotion and trade of designer clothing and accessories. Prior entry is reserved for designers and vendors with an approval pass for setup. In accordance with the purpose of the RCR, only clothing, jewellery, textile and artistic products hand-made may be exhibited. Resale products do not meet the accepted criteria. Designers who are established, whom design their own wear and have a team to create their brand will not be given priority over designers crafting, home and hand-making their items.
2 - ORGANISER
WHEREAS the RED CARPET RUNWAY. (RCR), and Partners are organizations dedicated to encouraging the expansion of world fashion in the fields of goods, services, capital and technology, to promote local fashion business relationships and the principle of fair and free trade among business enterprises, raising awareness for Social, Corporate and Environmental responsibility, within the global fashion industry.
The RCR is bound by a "best-efforts obligation" to organize the RCR Fashion Show. It excludes any indirect harm and, more specifically, any operating losses or financial losses. The total amount of any indemnities, which the RCR may be liable to pay to a DESIGNER or VENDOR, shall not be higher than the amount of the booking fee.
3 - ACCEPTANCE OF THE TERMS & CONDITIONS RULES
These rules and requirements apply in their entirety to all booking applications submitted by the designers or vendors for the RCR Fashion Show. All booking applications imply unreserved acceptance of these terms and conditions. These terms and conditions shall prevail over any other terms and conditions or other documents issued by the designers or vendors whatsoever. Any other terms and conditions issued by an exhibitor shall not be valid unless they are expressly accepted by the RCR and provided they do not contradict these terms and conditions.
4 - EVENT SCHEDULES
The RCR shall set the dates and venue for the RCR Fashion Show with a view to organizing the show as successfully as possible. The dates and venues indicated on the RCR website are indicative. The dates and times for exhibition installation and dismantling, show running schedules, pre-show workshops and entertainment will be indicated in the "Designers and Vendors pre-show information schedule" sent to each exhibitor who is duly registered and who has fully paid for its catwalk or vendor spot.
5 - DESIGNER AND VENDOR ADMISSION
Only designers and businesses displaying their own creations and products may take part in the RCR Fashion Show. Admissions made by designers or vendors who are in financial difficulty and/or in a debtor and/or dispute situation with the ORGANIZER or its group shall not be considered. Please note resale products do not meet the accepted criteria. A minimum of 8 and a maximum of 10 garments per collection in any one criteria, designers are not permitted to enter in the same category more than once for each RCR Fashion Show. Designers fitouts per model must be 80% their own work or creation with 20% being other (other-retail bought items such as singlets, stockings, jewellery and any other item or piece to compliment the collection style). 20% other must not be used as a main form garment e.g. coats, jackets and such items that are large and obstruct view from the main collection style.
Collaborations are accepted with approval and restrictions. Acceptable collaborations are accessories (jewellery, millenary, handbags, headwear.) and other designers or vendors whom make small clothing accessories (shawls, scarves, gloves). Designers fitouts per model must be 70% their own work or creation with 30% being other (other-retail bought items such as singlets, stockings, jewellery and any other item or piece to compliment the collection style). 30% other must not be used as a main form garment e.g. coats, jackets and such items that are large and obstruct view from the main collection style and may vary depending on designers collection styling. You may not use this option to extend your 20% other for designer only collection, in doing so you forfeit your position on the catwalk any may not be refunded as stated in clause 24.
Designers who have a collaboration partner are allowed to share their booth given 1/4 to the collaboration partner and 3/4 to the designer. If the collaboration partner wishes to hold their own booth they must submit and pay for a booth in the "accessories lane" section of the event, this cost is not included in the designers and vendors price and will be an additional expense paid by the collaboration partner.
5.1 - PRE-ADMISSION
During the RCR Fashion Show, and more specifically after the event, the ORGANISER shall offer the designers and vendors the possibility of applying for pre-admission to the next RCR Fashion Show
5.2 - ADMISSION
5.2.1 - NEW EXHIBITORS
All new exhibitors, or any past exhibitors about whom the ORGANISER has reservations, who wish to apply to take part in a RCR Fashion Show, shall submit a registration form via the ORGANISER's email at enquiries@redcarpetrunway.com.au and make payment on the ORGANISER's official website.

Registration forms must include the following documents:
- The fully completed registration form
- 4 to 6 photos of the applicant's last collection - or illustrations for the RCR Fashion Show.
- A description of your brand
- A description of your collection to show
- A business card or promotional flyer including a gift card or voucher for the VIP bags (this must be a dollar figure amount worth minimum 5% of your average priced garment or piece)
The ORGANISER reserves the right to accept or refuse the applicant's brand or collection. If the brand is accepted, the ORGANISER will confirm this via email.
5.2.2 - PAST EXHIBITORS
Past exhibitors are defined as exhibitors who exhibited at the last RCR Fashion Show and about whom the ORGANISER has no reservations. They must submit and application from and attach relevant information as requested (Section 5.2.1).
The applicant must also read in full the Designers and Vendors Information document, the Rules and Requirements and Terms and Conditions and tick the box "I have read and accept the ORGANISER's terms and conditions and Rules and Requirement." If this procedure is not followed the ORGANISER's can cancel the booking and the application will not be transmitted to the RCR Fashion Show.
On receipt of the completed application, the ORGANISER will confirm the designer or vendor via email with an acceptance or request further information.
6 - ACCEPTANCE OF ADMISSION APPLICATIONS & CANCELLATIONS
The Red Carpet Runway accepts admission applications based on such criteria as (i) date of receipt of the application, (ii) artistic originality and brand’s social/environmental responsibility of the brand, and (iii) the presentation of the articles and the booth display. No compensation shall be provided for rejected admission applications.
Exhibitors may cancel their booking within ten (10) days (including Saturdays, Sundays and public holidays) after payment. After such 10-day period, booking applications can no longer be modified and any cancellation and/or withdrawal for any reason whatsoever shall be subject to a penalty of 20% to 30% of the amount of the requested booking and all administrative fees, all refunds will be due within seven (7) days after request, refunds are only applicable when full payment of the inclusion is made, partial payments are non-refundable. The penalty shall be due even if the ORGANISER is able to reallocate the booth that was initially booked or postpone the event within 24 months. Exhibitors are required to make a new admission application each season. Admissions are not tacitly renewed.
To start the refund process, you must contact us at enquiries@redcarpetrunway.com.au. If your return request is within the 10 day period, we'll action a refund within 7 business days which thereafter may take 3-5 business days to appear in your account.
Vendors only: a non-refundable amount of 20% will be withheld from your total refunded amount
Designer + vendor: a non-refundable amount of 30% will be withheld from your total refunded amount
Sponsors only: sponsorships are non-refundable
Please note: refunds are processed into the account you paid for your booking. Gift cards are non-refundable.
7 - CO-EXHIBITORS - SUBLEASING
The subleasing or transfer of all or part of a booth, for a fee or free of charge, is prohibited.
Group booking applications for the same booth must be made in writing and include an application file containing the documents and terms defined in Article 5.2.1 for each individual exhibitor.
Co-exhibitors are jointly and severally liable for complying with their obligations under these rules and the booking rules. Should any co-exhibitor wish to stop co-exhibiting on a booth, in order to run a separate booth on its own account, the ORGANISER may not be able to automatically allocate a new, individual booth to that co-exhibitor. The past co-exhibitor shall then become a new candidate for admission to the RCR Fashion Show and shall comply with the admission application procedure as defined in Article 5 above, and shall confirm to the ORGANISER in writing that it is discontinuing the co- exhibition. Exhibitors are permitted to display on their booths only the equipment, products or services listed in their admission application and accepted by the ORGANISER and/or the equipment, products or services presented by their declared co-exhibitors who have been accepted by the ORGANISER. Exhibitors may not engage in any advertising whatsoever for non-exhibiting companies.
8 - BOOTH ALLOCATION
The ORGANISER shall draw up a layout plan for the event and freely allocate the booths based on the date the application files are returned as well as technical and artistic constraints. The ORGANISER shall endeavour to take the exhibitors' wishes into account. In any case, for obvious organizational reasons, the ORGANISER is not able to guarantee that all wishes will be satisfied. Claims regarding the booth allocated to an exhibitor shall not be taken into consideration. In no event shall the ORGANISER be liable to an exhibitor for any such consequences that may arise as a result of the booth allocated to it and/or the allocation.
An exhibitor's participation in previous events shall not create any right to a specific booth or even the automatic renewal of its participation in the RCR Fashion Show. The layout plans will only be provided prior to the RCR Fashion Show Event.
9 - BOOTH SIZE
On the booth layout plan provided to the exhibitors, the ORGANISER shall indicate dimensions that are as accurate as possible. It is the exhibitors' responsibility to make sure that their booth is conforming before fitting out their booth.
The ORGANISER reserves the right to modify the size and layout of the exhibitors' booths as many times as it deems necessary.
Considering the constraints involved in positioning all of the exhibitors booths, the ORGANISER may modify the size requested by an exhibitor, and the exhibitor shall not be able to cancel its participation on this basis.
In the event of a change in the requested booth sizes, the ORGANISER shall use its best efforts to inform the exhibitors of such changes as soon as possible.
10 - BOOTH DECORATION AND INSTALLATION
Any damage caused by the exhibitors' installations or exhibited goods to the buildings or installations provided by the ORGANISER or to trees, plants or any other elements and/or, the floor, shall be assessed by the ORGANISER's representatives and charged to the exhibitors.
BOOTH DECORATION
The exhibitors shall be responsible for the specific decoration of the booths taking into account the rules issued by the ORGANISER and in harmony with the RCR's general style. Exhibitors aren't required to submit a decoration proposal for the ORGANISER's approval, excluding additional space or large furniture or props if requested. Booth decoration is a criterion for admission to the RCR Fashion Show, in accordance with Article 6 of these rules.
The exhibitors shall not modify the elements set up by the ORGANISER, such as banners, signs, lighting, rugs, or obstruct or encroach on the alleys or disturb their neighbours.
BOOTH INSTALLATION
Exhibitors shall finish their booths 4hrs before the RCR Fashion Show opens, for inspection by the RCR. Only vehicles with special passes will be permitted to enter the RCR's venue on the day it opens and throughout the show period.
In particular, exhibitors agree to comply with the following rules and the rules set out in the Accessories Lane Information document:
Use only blu-tack or string and only on the display wall panels supplied (no big holes or use of drills, etc.), exhibitors must leave booths in original found state (removing all added furniture, garments, accessories, wall tack and string, wipe over and remove buffs and scuffs), any damages (including minor marks) must be reported to the RCR.
Use of paint directly on the display wall panels is prohibited.
The real walls may not be used.
In order to prevent electrical risks, the ORGANISER must be informed in advance about the use of any personal electrical machines in or on the booth.
In order to prevent any loss, someone representing the brand must be on site to accept delivery of parcels.
The ORGANISER shall not accept delivery of any parcels.
The ORGANISER shall not be liable for any loss or theft.
The ORGANISER shall not supply any hangers for booths.
We ask you to keep the furniture in the condition in which it was supplied to you.
Please do not block the emergency exits, which must remain accessible at all times.
Smoking is prohibited at the RCR Fashion Show.
11 - SAFETY RULES – DAMAGE
The exhibitors shall comply with the safety measures laid down by the Police authorities or by the General Police Department. In particular, they shall ensure that all the accessories they add in order to fit out or decorate their booths are inflammable or fire-proof.
12 - FRAUD - UNFAIR COMPETITION - INFRINGEMENT
Exhibitors undertake to display only products that comply with Australian regulations and not to engage in any misleading advertising or act of infringement or unfair competition. The ORGANISER shall not be held liable for any breach of this obligation. The Exhibitor shall, in all events, hold the ORGANISER fully harmless from all liability, decisions or settlements in this respect. If necessary, the ORGANISER may remove the products in question immediately.
13 - PRESENTATION AND MANNING OF BOOTHS
Visitors must be able to freely move around the booths and exhibition without being diverted by the exhibitors.
We only allow 1 team member to man the booth during the shopping experience. Vendors are aloud to utilize additional team members during the set up of their booth. If additional team members are required to adequately promote and sell products in Accessories Lane they must purchase a ticket to the Red Carpet Runway Fashion Show and provide their booking number to the applicants registration by emailing the ORGANISER at enquiries@redcarpetrunway.com.au
Immediate exclusion from the RCR's Fashion Show, without refund or compensation of all amounts due, designers and vendors are prohibited to:
make any disturbing demonstration or solicitations or holler, in order to attract customers in any way whatsoever, engage in any advertising that may disturb the occupants of neighbouring booths and their visitors;
distribute samples and/or prospectuses relating to non-exhibited or brand related articles unless authorized in writing by the ORGANISER;
place objects in such a way that they hang outside the booth;
stick posters and prospectuses outside the booth;
project photos or films, or use a sound system without the ORGANISER's written authorization;
carry out surveys without the ORGANISER's written authorization;
host, on a booth, any company or person who is not registered or declared for the RCR Fashion Show.
A competent person must man at the booth all times during shopping experience hours.
Booths must be kept in impeccable condition. The exhibitors shall not clear out their booths or remove any of their articles before the end of the RCR's Fashion Show. Exhibitors are not permitted to pack down their booth until 30 minutes after RCR's Fashion Show ends. Exhibited items shall not be left covered up during the RCR's Fashion Show opening hours. The ORGANISER shall be permitted to remove anything, which covers up any items.
Loose packaging or items not being used in the display, and the staff's changing rooms, shall be kept out of sight of visitors. Any covers used at night shall be kept out of the visitors' view but stored inside the booths, out of sight.
14 – RCR ACCESSORIES LANE INFORMATION DOCUMENT
Information and details about the exhibitor's participation in the RCR Fashion Show are provided in the "RCR Accessories Lane Information Document". The document includes, without limitation, most relevant information relating to the "Rules and Requirements", what to expect and what we offer when becoming apart of the RCR Fashion Show.
In no event RCR shall be deemed to be an agent or otherwise represent any of the Exhibitors and conversely.
15 - PAYMENT
Payments must be made in full online at www.redcarpetrunway.com.au to secure your booth.
The Exhibitor booths will not be made available to the participant exhibitors until full payment is made. The ORGANISER reserves the right to deny the exhibitor access to the installation of the RCR Fashion Show.
The ORGANISER reserves the right to rent the booth out to another exhibitor.
The ORGANISER reserves the right to demand full payment of the invoice and payment of the administrative fees as compensation, even if the booth is rented out to another exhibitor.
16 - EVACUATION AND DISMANTLING OF BOOTHS
Exhibitors may not leave, clear away or dismantle their booths before the RCR's Fashion Show officially closes. Exhibitors may not take away any equipment without justification and without the ORGANISER's authorization. Exhibitors must not leave, clear away or dismantle their booths until thirty minutes (30) after RCR's Fashion Show ends and all guests have left. The booths must be vacated no later than 2.5 hours after the RCR's Fashion Show closes. The booths must be left in their initial condition. Should an exhibitor breach these obligations, the ORGANISER shall be free to apply a penalty of $250 as soon as it discovers any breach of the above mentioned obligations.
17 - CATALOGUE
Only the ORGANISER has the right to publish and distribute, or arrange for the publication of the RCR's Fashion Show catalogue. The necessary information to prepare the catalogue will be provided by the exhibitors, under their own liability, on the day of their application and booking. The ORGANISER shall not be liable for any omissions, reproduction or composition errors or any other such errors as may occur.
18 - IMAGES
Vendors/Designers expressly authorize the ORGANISER, for no consideration after the RCR's Fashion Show, to:
If it wishes, take photos and/or shoot films portraying them and their team members, as well as the products displayed on their booths.
Make unrestricted use of these images on all types of media, including, without limitation, on advertising materials, on an unlimited basis worldwide.
Quote and reproduce, free of charge, its trademark or company name as a business reference/credential for the purposes of its communication, on all types of media, for a period of five years from the signature of this agreement.
RCR's Fashion Show can reserve the right to take pictures and films (or have television reporting) during the event, as well as during periods of mounting and dismounting, and reserve the right to use, reproduce, communicate, transfer or exploit these photos in any way reasonably compatible with RCR's purpose and object. Also, only the RCR or a third party designated by it, would have the right to take photos or filming during the Event, as well as during periods of mounting and dismounting.
19 - LIABILITY - INSURANCE
The ORGANISER disclaims liability for any harm that may be sustained by the exhibitors (including disturbance or direct or indirect commercial harm) for any reason whatsoever. The ORGANISER has nevertheless taken out Public Liability Insurance.
Waiver of rights and remedies: by taking part in the RCR's Fashion Show the exhibitors waive all their and their insurers' rights and remedies against the ORGANISER and their insurers based on any direct or indirect damage that may be caused to their property or to their staff.
20 - OTHER OFFICIAL AUTHORIZATIONS
Exhibitors who use music during the RCR's Fashion Show, even for simple sound demonstrations, must declare and deal directly with competent institutions and obtain any necessary authorizations. The ORGANISER shall not be held liable for any difficulties that may arise in connection with such formalities.
21 - INDUSTRIAL PROPERTY
The exhibitor shall be responsible for ensuring the industrial protection of the displayed equipment and products, in accordance with applicable legislation. These measures shall be taken before the presentation of such equipment or products, the ORGANISER accepting no liability in this respect.
22 - PERSONAL DATA
The data collected on the booking application forms shall be processed by The Red Carpet Runway for the purposes of organizing the event, promoting the RCR's Fashion Show and making the catalogue.
Data subjects may ask to provide with or have access to, or to rectify or remove any data concerning them, by emailing a written request to enquiries@redcarpetrunway.com.au.
23 - CANCELLATION OR MODIFICATION OF THE EVENT
In case of force majeure (war, terrorist attacks, strikes, national days of mourning, natural disasters, etc.), or prohibition or cancellation due to the intervention of a third party or in the absence of an administrative authorization and/or vital international logistic, the ORGANISER may decide to postpone or cancel the RCR's Fashion Show.
If the event is postponed, final bookings shall remain valid and the down payments shall be carried over to the new dates.
If cancellation of the admission is requested by the exhibitor/brand/Designer once the booking is covered and published participation in the RCR's website, the Organiser can keep or claim 50% of the total fees up to 30 days before the event and 75% 5 days before the event.
24 - PENALTIES FOR BREACH OF THE RULES
In the event of a breach of these rules, the ORGANISER may, without prior notice and without prejudice to any claim for damages:
Exclude the exhibitor and/or immediately close its booth; request and/or deposit the breaching items at the exhibitor's cost, risks and perils. In any case, the ORGANISER may deny entry to the exhibition to anyone who engages in any wrongdoing against one of the exhibitors and/or against the ORGANISER and its staff and/or partners.
RCR reserves the right to cancel the admission or reduce the booth’s space or cancel the event but keeping the fees paid by the Exhibitors (e.g. part. 6 and 15) are likely to be considered as penalty. To be valid, penalty cannot be abusive and must be justified. The total number of exhibitors and the possible difficulty to reallocate the booth should be taken into account.
25 - NO WAIVER
Any failure to exercise, at any time whatsoever, any of the prerogatives granted hereunder, or any failure to demand performance of any provision of the agreement resulting from said conditions, shall not be interpreted as a modification of the contract or as an express or implied waiver of the right to exercise such prerogative in the future or the right to demand scrupulous performance of the commitments set forth herein.
26 - APPLICABLE LAW AND JURISDICTION
Any dispute arising in connection herewith or with the RCR governed by these terms and conditions and rules shall be governed and construed in accordance with the laws of Australia without giving effect to referral rules, submitted to the exclusive jurisdiction of the Commercial Court, even in the event of summary proceedings and notwithstanding multiple proceedings or parties. Any claims shall be made by registered email with return receipt requested within ten (10) days of the close of the Event.
27 - OFFICIAL PROGRAM
In reference to the RCR's Fashion Show an “Official Program” will be developed, which shall include the details of the appearance of fashion designers and participating vendors/booth location, such as running order and times.
28 - DELEGATION TO A THIRD PARTY
The RCR Executive Board has the power to delegate the organization and coordination of the shows and of the presentations, together with the compilation of the “Official Program”, to a third party.
29 - DISCLOSURE OF THE CALENDARS
The “Calendars” giving the approved dates of the events and forums, shall be divulged by the RCR at its own expense, using the methods that it considers most suitable.
30 - INTEGRITY AND RESPECT FOR THE PROGRAM
No one can change add or take away anything the Red Carpet Runway has decided to publish. Once the “Official Program/Schedule” has been published and marked as "Official Program", the Members and Guests shall keep to it scrupulously, with regard to the day and time of their appearance.
31 - POWER OF THE BOARD
In the event that any brands/exhibitors should fail to comply with the regulations regarding the “Official Program”, which have been established and approved by the RCR Executive Board, or in the event of any incorrect behaviour – be it intentional or simply due to negligence, the Board itself shall take disciplinary measures, including that of exclusion from the “Official Program” and/or, in the most serious cases, the suspension of participating. Delays in scheduled meetings and/or pick ups that result in any difficulty, delay or damage to the following event or show, are also deemed incorrect behaviour.
32 - ADMITTANCE TO THE SHOW HALL/VENUE
Staff from the RCR and/or Venue Official, shall carry out the service regarding admittance to the hall where the show is being held. The Red Carpet Runway can, at its sole discretion, place its own personnel at the disposal of the participating venues.
During the period of this Agreement, exhibitors/designers representatives will maintain close communications with and report to the Director and/or Project Coordinator of The Red Carpet Runway.
33 - CONDUCT
Exhibitors shall refrain from any conduct that would adversely reflect on RCR and shall not engage in any activity that is incompatible with the aims and objectives of RCR.
Exhibitors shall exercise the utmost discretion in all matters of official RCR business and will not communicate at any time, whether during or after its agreement with RCR, to any other person, government or authority external to RCR any information known to him or her by reason of association with RCR which has not been made public, except in the course of his or her duties or by authorization of the RCR Director, nor will it ever use such information for private gain.
34 - RESPONSIBILITY
Exhibitors shall independently arrange for:
The observance of all laws and regulations currently in force, particularly the fire regulations and regulations governing electrical installations, lighting, and the structures for setting up show, if any.
The use of environmental-friendly and flame-resistant, non-polluting materials and the use of structures for setting up the show, if any, which are not dangerous and which can be easily adapted to the spaces they have been allocated.
The control of the number of participants and guests shall not exceed that permitted by law or by the competent authorities.
Exhibitors should be drawn on local, regional and national regulations, including business practices and safety.
35 - THE STATE-OF-THE ART QUALITY OF THE EVENTS
The sequence of the show/appearance – and therefore each single show/appearance – shall at all times mirror the highest qualitative level of style and content. Should any of the participants not respect the above, the RCR Director, Executive Board and/or International Committee shall exercise a function of control and shall take the necessary steps immediately.
36 - ACCEPTANCE OF THE RULES
On submitting an application for participation, the candidate shall declare that he/she acknowledges and accepts these Rules.
37 - REPREHENSIBLE CONDUCT
Each Participant or Guest shall avoid any conduct that public opinion could consider as not being in accordance with moral standards, or in any case reprehensible, during their appearances, shows, and outside them also. Express your freedom with respect.
The Red Carpet Runway and its delegates shall not be held responsible in any event, for any possible violations, either committed by participants and/or guests, or provoked by them.
38 - TELEVISION TRANSMISSIONS
With regard to the on-going collaboration between The Red Carpet Runway and the television networks for the shooting of the shows and subsequent programming, the Executive Board shall decide upon the ways, times and methods of shooting for television.
39 - MEDIA COLLABORATION
All official media announcements will be made by The Red Carpet Runway regarding participating designers, sponsors, venue and dates accordingly to RCR's Official Calendar. Only after these details have been made public by RCR can designers & sponsors engage with local media.
40 - COLLECTION
Accessories Lane:
Your collection for the Red Carpet Runway must be dated no longer than three (3) years.
Each vendor must only supply the accessories listed on their application. You may not sell or display any clothing items such as: T-shirts, trousers, tracksuits, coats, dresses or any such garment relating to the above mentioned.
We want to use the power of fashion accessories to bring positive change and upliftment.
41 - ENTRY INTO FORCE, DURATION AND TERMINATION
This Agreement shall enter into force on the date of its signature by all Parties, effective immediately, without prejudice to article 18, which will survive the termination or expiration of this agreement.
This Agreement constitutes the entire understanding between the Parties and supersedes all other prior communications, understandings and agreements relating to the subject matter hereof, whether oral or written.
